These Terms of Service ("Terms") govern your access to and use of the Zenko platform, including all websites, workspaces and services operated by [Platform Operator legal entity] ("we", "us"). By creating a workspace, subscribing to a module, or using the platform in any way, you agree to be bound by these Terms. If you accept on behalf of a company, you confirm you have authority to do so.
Zenko is a multi-tenant business management platform. Each subscriber ("tenant") receives a workspace at its own subdomain containing the modules it has subscribed to. Modules are billed on the terms shown at checkout (monthly or yearly). We may add, change or retire modules and features; retiring a module you subscribe to will not happen without at least 30 days' notice and a pro-rata refund of unused prepaid time.
You are responsible for the accuracy of the details you provide at signup, for inviting only people you are authorised to invite to your workspace, and for keeping login credentials secure. You must be at least 18 years old and able to form a binding contract. One workspace per business is the norm; the workspace name (subdomain) is allocated on a first-come, first-served basis and we may refuse or reclaim names that infringe rights, impersonate others, or that we reasonably consider misleading.
Module subscriptions are billed through Stripe. Charges are made in the currency shown at checkout. Subscriptions renew automatically until cancelled. You may cancel any module from your billing page at any time; cancellation takes effect at the end of the current billing period. Overdue subscriptions may result in the workspace being suspended after a grace period, in which case your data is retained for a limited period before deletion so you can export it. Where you use online payment features, payments from your clients are processed directly into your own Stripe account; Stripe's terms apply to those transactions, and we are not a party to them.
Your workspace data belongs to you. We process it only to provide the service (and, if you enable it, to connect it to third parties like Xero). See our Privacy Policy for details. You may export or request deletion of your workspace data at any time; deletion of a workspace is permanent and cannot be undone once completed.
You may not use the platform to break the law, infringe others' intellectual property, transmit malware, attempt to gain unauthorised access to other tenants' data, reverse engineer the service except as permitted by law, or resell access without our written agreement. We may suspend a workspace that presents an immediate technical or legal risk to the platform or other tenants.
The platform, its software and its content are owned by us and our licensors. Nothing in these Terms transfers ownership of the platform to you. These Terms do not grant you a licence to any trademarks or trade names.
The service is provided "as is" without warranties of any kind, to the fullest extent permitted by law. We do not warrant that the service will be uninterrupted or error-free. To the maximum extent permitted by law, our total liability arising out of or relating to the service is limited to the amounts you paid us in the twelve months before the event giving rise to the claim, and we are not liable for indirect, incidental or consequential damages, lost profits, or lost data. Some jurisdictions do not allow certain limitations, in which case they apply only to the extent permitted.
You may stop using the service and cancel your workspace at any time. We may suspend or terminate a workspace for non-payment after the grace period described in section 4, or for breach of these Terms after reasonable notice unless the breach is serious or presents immediate risk. On termination, your right to use the service ends immediately; your data is handled as described in sections 4 and 5.
We may update these Terms as the service evolves. Material changes will be notified to workspace admins by email or in-app notice at least 14 days before taking effect. Continued use after the effective date means acceptance of the updated Terms.
